Terms of Service

1. Acceptance of Terms

By accessing and using Keepsake ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

These terms apply to all users, including creators (who upload work) and clients (who review and approve).

2. Description of Service

Keepsake is a platform that enables creators to upload deliverables, invite clients for secure review, collect digital approvals, and generate verifiable certificates. The Service is provided "as is" without any warranty of fitness for a particular purpose.

3. User Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Keepsake. By using the Service, you represent and warrant that you meet this requirement.

4. Creator Account & Responsibilities

Account Credentials

You are responsible for keeping your account credentials (email and password) confidential. You are responsible for all activity on your account.

Content You Upload

You are responsible for all creative files and deliverables you upload to Keepsake. You represent and warrant that:

• You own or have licensed the right to upload the content
• The content does not infringe any third-party intellectual property rights
• The content is legal and does not violate any laws
• You have obtained any necessary permissions from clients, subjects, or contributors

Prohibited Uses

You agree not to use Keepsake to:

• Upload illegal, harmful, or malicious content
• Upload content that violates intellectual property rights
• Attempt to circumvent security measures
• Reverse-engineer or attempt to extract the source code
• Use the Service for unauthorized commercial purposes
• Spam, harass, or abuse other users
• Attempt to gain unauthorized access to other users' vaults

5. Client Access & Responsibilities

When you access a vault as a client (via a secure link), you agree to:

• Use the vault only for the intended purpose (reviewing deliverables)
• Not share vault links with unauthorized parties
• Not attempt to circumvent security measures
• Respect the intellectual property of the work in the vault

Clients do not need to create an account to access vaults. By signing a vault approval, clients consent to the recording of their name, signature, and approval timestamp in the audit trail.

6. Intellectual Property

Creators retain all intellectual property rights to their uploaded content. By uploading content to Keepsake, you do not grant us any rights to the content except as necessary to provide the Service (storage, preview generation, audit recording).

Keepsake itself (the platform, code, design, functionality) is owned by Regentic. You do not acquire ownership of Keepsake by using it.

7. Subscriptions & Billing

Pricing

Keepsake pricing is displayed on the Service. Pricing may be updated with notice.

Free Trial & First Handover

Users can create one free handover vault to try the Service. After that, a subscription is required to create additional vaults.

Automatic Renewal

Pro subscriptions renew automatically at the end of each billing period. You will be charged according to the plan you selected.

Cancellation

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.

Downgrade

If you downgrade from Pro to Free, your existing vaults remain accessible, but you cannot create new vaults until you upgrade again.

8. Data & File Storage

File Availability

Files are stored as long as your account is active. Keepsake does not guarantee permanent storage. We maintain reasonable backup procedures, but data loss is possible due to technical failure or circumstances beyond our control.

File Retention Upon Deletion

If you delete a vault, files are permanently removed from the Service. Deleted data cannot be recovered.

Your Responsibility for Backups

You are responsible for maintaining backups of important files outside of Keepsake. We recommend retaining original files and certificates locally.

9. Certificates & Proof

Keepsake generates verifiable PDF certificates that record approvals, signatures, and file hashes. These certificates serve as a record of approval and handover.

Certificates are not a substitute for legal advice or contracts. They are a record of approval within the Keepsake Service. Creators and clients remain responsible for their own agreements regarding deliverables.

10. Security & Authorization

Keepsake implements security measures including encryption, server-side authorization, and audit trails. However, no security system is perfect. We are not responsible for:

• Unauthorized access due to user negligence
• Data loss due to technical failure
• Attacks or breaches beyond reasonable prevention

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEEPSAKE AND REGENTIC ARE NOT LIABLE FOR:

• Loss of data or files
• Loss of revenue or profit
• Indirect, consequential, or incidental damages
• Interruption of the Service
• Third-party claims arising from your use of the Service

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR KEEPSAKE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Disclaimers

KEEPSAKE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Fitness for a particular purpose
• Merchantability
• Non-infringement
• Uninterrupted operation
• Freedom from errors

We make no representations that the Service is secure or that your data is safe.

13. Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms of Service
• Upload illegal or harmful content
• Attempt to circumvent security measures
• Repeatedly violate prohibited uses

Upon termination, your account and data will be permanently deleted. You can cancel your subscription anytime to avoid unwanted charges.

14. Indemnification

You agree to indemnify and hold harmless Regentic and its employees from any claims, damages, or costs arising from:

• Your violation of these Terms of Service
• Content you upload that infringes intellectual property rights
• Your use of the Service in violation of law

15. Modification of Terms

We may update these Terms of Service from time to time. Changes become effective when posted. Your continued use of the Service after changes indicates acceptance of the new terms.

16. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United Kingdom. Any disputes shall be resolved in the courts of the United Kingdom.

17. Severability

If any provision of these terms is found to be invalid or unenforceable, that provision shall be removed and the remaining terms shall remain in effect.
